Course Description<\/p>\n\n\n\n

This course looks at how a contract is formed <\/strong>in common law systems. It examines and explains the elements<\/strong> needed to form a legally binding contract, whether it is written or oral<\/strong>. These requirements differ from those needed in civil law. <\/p>\n\n\n\n

The case study will examine the facts in the well-known Pennzoil v Texaco<\/strong>, which saw two huge oil companies fight it out in the Texas Court in 1985 and which involved pre-contractual negotiations. <\/strong><\/p>\n\n\n\n

We will look at and analyse the Plaintiff’s strategy and learn what impact this has had on commercial negotiations. <\/p>\n<\/div><\/div>\n\n\n\n

Learning Outcomes:-<\/strong><\/p>\n\n\n\n

At the end of this course, you will know:<\/p>\n\n\n\n

  • how a contract is formed<\/strong> in common law jurisdictions when it is not written <\/li>
  • the elements<\/strong> that constitute a valid contract<\/li>
  • the legal concept of consideration <\/strong>and why consideration must be exchanged by the parties<\/li>
  • the litigation strategy<\/strong> of the successful legal team<\/li>
  • the availability of Chapter 11 bankruptc<\/strong>y in the USA and how bankruptcy can be used in order to protect a client<\/li>
  • how the law of contract <\/strong>and the law of tort<\/strong> are equally useful in litigation<\/li>
  • the legal concept of tortious liability<\/strong> and the consequences of deliberately persuading a party to a contract to breach the agreement<\/li>
  • key essential legal English terms essential to practising commercial law<\/strong> at an international level<\/li><\/ul>\n\n\n\n

    This course is an excellent way to prepare for the SQE if you are a foreign lawyer because it includes vocabulary, grammar and legal concepts. <\/p>\n\n\n\n
