Description<\/strong><\/p>\n\n\n\n

This module looks at those entrepreneurs who operate their businesses as sole traders<\/strong> or as partners<\/strong> within a traditional partnership or an LLP.<\/strong><\/p>\n\n\n\n

We will examine an owner’s liability for debts and study Brittain v Haghighat (2009) <\/strong>in which a court had to decide whether or not a sole trader should lose their family home to pay business debts<\/strong>. <\/p>\n\n\n\n

We will study the law of partnerships, the concept of joint and several liability,<\/strong> the risks involved in entering into a traditional partnership without legal advice or without having a written partnership agreement.<\/strong><\/p>\n\n\n\n

At the end of this course, you will know more about:<\/p>\n\n\n\n

  • the options owners of a new business have when selecting a business legal structure<\/strong><\/li>
  • the legal obligations involved when setting up as a sole trader <\/strong>and the liability and risks<\/strong> for business debts<\/li>
  • the process of invoicing customers <\/strong>and the importance of the cash flow i<\/strong>n a business<\/li>
  • a sole trader’s debtors<\/strong> and creditors<\/strong>, bankruptcy<\/strong> and the work of insolvency practitioners<\/strong><\/li>
  • the role of the trustee in bankruptcy<\/strong> such as selling assets to pay debts and the risk to personal assets<\/strong>, including the family home<\/li>
  • joint and several liability<\/strong> for debt between partners in a general partnership<\/li>
  • dispute resolution<\/strong> in the absence of a written partnership agreement<\/li>
  • some key esential legal English terms for practising commercial law internationally<\/li><\/ul>\n<\/div><\/div>\n\n\n\n

    SQE Candidates: If English is not your first language, this course has vocabulary, grammar and legal concepts and is a useful base for SQE Candidates.<\/p>\n\n\n\n
