This course will examine the role that contractual warranties<\/strong> have as statements of truth<\/strong> in commercial contracts. To avoid risks<\/strong> or manage risks<\/strong>, parties often exchange warranties, especially during the due diligence phase<\/strong>.<\/p>\n\n\n\n

The course will also highlight the important difference between a warranty <\/strong>as opposed to a guarantee<\/strong>. <\/p>\n\n\n\n

Course description<\/strong><\/p>\n\n\n\n

At the end of this course, you will know more about:<\/p>\n\n\n\n

  • warranties <\/strong>as operative clauses in commercial contracts<\/li>
  • the difference between a contractual warranty <\/strong>and a guarantee<\/strong><\/li>
  • the importance of the disclosure process<\/strong> between the parties when negotiating a contract and the exchange of disclosure letters as part of the negotiating process<\/strong><\/li>
  • warranties as secondary provisions of a contract and the availability of the remedy of damages<\/strong> where a loss has been suffered where there is a breach of a warranty<\/li>
  • the important precedent case of the Moorcock 1887, <\/strong>where it was established that certain warranties were essential otherwise the contract would not make any sense<\/li>
  • the difference between express and implied warranties<\/strong><\/li>
  • the idea of business efficacy<\/strong> and arms length<\/strong> deals where a court’s interference with the terms of a written agreement may be limited<\/li>
  • key essential legal English<\/strong> terms to practise commercial law at an international level<\/li><\/ul>\n\n\n\n

    SQE: If English is not your first language, this course has vocabulary, grammar and legal concepts and is a useful base for SQE candidates.<\/strong><\/p>\n\n\n\n
