Course Description
This course looks at how a contract is formed in common law systems. It examines and explains the elements needed to form a legally binding contract, whether it is written or oral. These requirements differ from those needed in civil law.
The case study will examine the facts in the well-known Pennzoil v Texaco, which saw two huge oil companies fight it out in the Texas Court in 1985 and which involved pre-contractual negotiations.
We will look at and analyse the Plaintiff’s strategy and learn what impact this has had on commercial negotiations.

At the end of this course, you will know:
- how a contract is formed in common law jurisdictions when it is not written
- the elements that constitute a valid contract
- the legal concept of consideration and why consideration must be exchanged by the parties
- the litigation strategy of the successful legal team
- the availability of Chapter 11 bankruptcy in the USA and how bankruptcy can be used in order to protect a client
- how the law of contract and the law of tort are equally useful in litigation
- the legal concept of tortious liability and the consequences of deliberately persuading a party to a contract to breach the agreement
- key essential legal English terms essential to practising commercial law at an international level
This course is an excellent way to prepare for the SQE if you are a foreign lawyer because it includes vocabulary, grammar and legal concepts.
