Boilerplate Clauses in Commercial Contracts

In this module we will study the legal concepts and English legal vocabulary found in the boilerplate clauses of a typical commercial contract. These clauses are usually at the end of the contract, after the operative part of the contract.

These clauses have been the focus of commercial relationships since the outbreak of the COVID-19 pandemic and now the Russian invasion of Ukraine.

Up until now these clauses were not dealt with in a very thorough way and thus have created problems for parties.

We will examine these clauses and study ways we can help clients avoid expensive litigation. Our case study will focus on the Trump and Deutche Bank, which started during the 2007 financial crisis when the Trump hotel chain was unable to repay a $640 million loan to Deutsche Bank.

  • the importance of boilerplate clauses in a commercial agreement
  • governing law and jurisdiction clauses if there is a dispute between the parties
  • the prevailing language clause in bilingual contracts
  • the risks in having contracts signed in counterparts
  • force majeure clauses and how they operate
  • the litigation between Trump and Deutsche Bank about a high-value Loan Agreement
  • entire agreement provisions
  • when a court may imply terms into a contract regardless of the express terms agreed to by the parties
  • key essential legal English terms essential to practising commercial law at an international level
