In this module we will study the importance of the tort of negligence to commercial lawyers. Generally speaking, it may not be possible for a commercial party to exclude liability for negligence altogether but rather link it to the contractual concepts of damages and indemnity.

In this topic we will focus on how businesses and can become liable for not exercising reasonable care which leads to someone suffering harm. The law of tort is also known as the law of civil wrong. Our study will examine the iconic case of Donoghue v Stephenson and the McDonald’s Hot Coffee Case.

At the end of this course, you will know:

  • the importance of the law of tort in common law systems
  • the concept of the duty of care and the consequences of breaching that duty
  • the law on negligence and its role as a deterrent to engage in negligent conduct
  • the claim brought against McDonalds and Donoghue v Stephenson
  • the concept of punitive damages and how it operates in tort cases
  • the concept of vicarious liability and becoming liable for the negligence of others
  • the requirement of foreseeability of harm and the ‘reasonable man’ test
  • contributory negligence and the effects this has on an award of damages
  • the Caparo Test and the liability of professionals when their statements are found to be negligent
  • key essential Legal English terms essential to practising commercial law at an international level
