This course looks at private and public limited companies set up in the UK and US.
The course focuses on the law governing companies, the advantages and disadvantages of setting up as a limited company and the responsibilities imposed by law.
Participants will learn how a limited liability company is incorporated, the legal requirements surrounding how the company is run, and some of the key differences between private and public companies.
We will also look at wrongful or fraudulent trading and how the corporate veil can be pierced.
At the end of this course, you will know more about:
- a limited company as a legal entity and the concept of legal personality
- the general liability of the owners for the debts of a limited company and what happens if there is wrongful or fraudulent trading
- companies limited by shares and those limited by guarantee
- the issue of shares, key terms including nominal price, the market price and share premium
- the effects of a director’s personal guarantee
- the articles of association and the procedure for registering a new private limited company
- public limited companies and how a company is floated on the stock exchange
- an initial public offering (IPO) and the role of investment banks in this process
- Company meetings, the company AGM, shareholders, dividends, voting methods, proxies and the requirement of a quorum
- key essential Legal English terms that practising commercial lawyers need to know to work internationally.
This module is excellent preparation for any international lawyer or law student planning to take the SQE. If English is not your first language, this course will assist you with vocabulary, grammar and legal concepts.
